Reform of Bankruptcy Law and Business Crisis

On Friday 18 October, the conference "Reform of Bankruptcy Law and Business Crisis" was held at the Ariosto Theatre in Reggio Emilia.

The conference – at its 15th edition – is coordinated by Sido Bonfatti and is an important occasion for dialogue and discussion among professionals to analyse the main effects that the reform of bankruptcy law will produce on the procedures aimed at managing and resolving business crises.

Speakers included Giorgio Barbieri of Studio Legale SBS with a speech on "The agreements connected to Recovery Plans".

Other topics included "The new structure of bankruptcy procedures"



Decreto Dignità: the Italian labour reform

On 17th June 2019 a seminar about the recent labour reform (so called “Decreto Dignità”) took place in the headquarters of CNA, the Association of Small and Medium Enterprises, in Reggio Emilia.

The associate Sabrina Grivet Fetà intervened as main and keynote speaker, holding a presentation about the innovations carried out by the reform in the matter of temporary agency work, fixed-term contract and dismissals, also taking into consideration the fundamental sentence of the Italian Constitutional Court of November 2018.

The intervention illustrated the innovations introduced by the reform with respect to the previous discipline, trying to systematically reconstruct the new regulatory framework and to provide an interpretative orientation of the new rules.

Bonelli Erede and Sutich Barbieri Sutich in the Ccpl’s debt restructuring

BonelliErede advised the creditor banks involved in CCPL’s debt restructuring agreement under Article 182-bis of the Italian Bankruptcy Law. CCPL is the parent company of one of Italy's leading cooperative industrial and financial groups, operating in the fresh food packaging, real estate, construction materials and facility management industries. 

Before signing the restructuring agreement, which was filed with the Court of Reggio Emilia, an application was filed pursuant to Article 182-bis, paragraph 6, and Article 182-quinquies, paragraph 3, of the Italian Bankruptcy Law, which was followed by the Court's authorization to maintain the self-liquidating loans granted by the banks.

BonelliErede's Restructuring & Insolvency Focus Team supported the banks with a team coordinated by the partner Paolo Oliviero and composed of the managing associate Lucio Guittilla and the associate Ruggero Battaglia.

Conference "Le liquidazioni virtuose" - Mantua 5 and 6 October 2018

The lecture focused on the possible actions of the bankruptcy receiver on the debtor’s share capital. From a static perspective, such actions may be identified in those aimed at recovering the unavailable assets corresponding to the share capital of the bankrupt company.

From a dynamic point of view, also in light of the scenario set up by the draft of the new Italian Bankruptcy Law, the mentioned actions consist in (extraordinary) operations, directly or indirectly involving the bankrupt company’s share capital (or its subsidiaries), reorganizing - in a broad sense - the company’s capital and/or financial structure.

In this last respect, the lecturer examined the controversial issue of the bankruptcy’s impact on the powers of the corporate bodies and of the bankruptcy receiver during the insolvency proceeding or in the perspective of a composition with creditors (“concordato fallimentare”)



QuattroR acquires Ceramiche Ricchetti

Ceramiche Ricchetti and the Zannoni family were advised by StudioLegaleSBS.

QuattroR – a company for the relaunch and development of medium-large Italian enterprises in temporary financial distress - acquired 62% of Gruppo Ceramiche Ricchetti, internationally operating in production and marketing of ceramic surfaces and listed on the MTA. 

As part of the transaction, QuattroR has taken over the share through the special purpose vehicle Finkéramos, also participated by the historical reference shareholders linked to the Zannoni family, and announced the launch of a mandatory tender offer for all the group’s shares, aimed at delisting. 

The group's relaunch will be carried out through a capital increase of approximately 41 million and a restructuring of the existing debt through a plan defined with financial creditors, in accordance with Article 67 of the Italian Bankruptcy Law.

Ceramiche Ricchetti and the Zannoni family were advised by Sutich Barbieri Sutich Law Firm with its partner Giorgio Barbieri, and the associates Alessandro Nironi Ferraroni and Mario Varchetta.

From 31 October to 21 November 2017, over four training sessions, the conference entitled “Il trasferimento di partecipazioni societarie” [Transfer of company shares], organised by the Foundation for the Accountants and Accounting Experts’ Board of Reggio Emilia, was held in Reggio Emilia.
Among the lecturers, Giorgio Barbieri of Sutich Barbieri Sutich law firm, further explored the subject of transferring company shareholdings and of recent indications of practices and case law in the area of guarantees and indemnities of the seller and options (put & call).

Procedures for company crises: unresolved matters and the prospects for reform

13 October 2017, Reggio Emilia

On Friday, 13 October 2017, the Malaguzzi Centre in Reggio Emilia hosted the 13th edition of the national conference “Le procedure di crisi delle imprese: i temi ancora aperti e le prospettive di riforma” [Company crisis procedures: topical issues and perspectives for reform], held with the cooperation of Professor Sido Bonfatti (lawyer). During his speech, Giorgio Barbieri analysed the legal aspects of “Profili problematici dell’ambito di applicazione della disciplina speciale delle operazioni di aumento di capitale nel Concordato Preventivo (art. 163, co. 5, l. fall)” [Issues in applying the specific rules of capital increase transactions while under an arrangement with the creditors (Article 163(5) of the Italian Bankruptcy Act)].



Area Broker Consulting Acquires QZ, company in Bologna

The intermediary and insurance advising company based in Reggio Emilia, Area Broker Consulting, established ten years ago, acquired the company QZ, based in Bologna. The Purchaser was assisted in the transaction, by lawyers, Giorgio Barbieri, Alessandro Nironi Ferraroni and Mario Varchetta, of the Sutich Barbieri Sutich law firm, and Alberto Peroni, of the PPI & Partners

law firm. The merger of the two companies significantly increased the size of the group, capable of managing 50 million in premiums with 72 employees. At a national level, the group is in the top 25 operators of its sector.
